Terms & Conditions

1. Introduction

        By accessing or using our services, you agree to comply with these Terms and Conditions (T&C). These terms apply to all services offered by Apricus IT Services LLC, including software development, cloud services, IT consulting, and technical support. Continued use constitutes acceptance of any revisions.

2. Services Provided

        We offer tailored IT solutions, subject to modifications without prior notice. Our services may involve third-party tools, for which we are not liable. Custom agreements may define specific project scopes.

3. User Obligations

  • Provide accurate information and comply with applicable laws.
  • Prohibited actions: Reverse engineering, unauthorized access, data scraping, introducing malware, or infringing intellectual property rights.
  • Use our services ethically and lawfully.

4. Payment Terms

  • Fees are based on project milestones, hourly rates, or subscriptions.
  • Invoices are due within 30 days; late payments incur a 5% interest charge.
  • Prices exclude taxes; clients are responsible for applicable taxes.
  • Refunds are governed by separate agreements and are generally non-refundable unless specified.

5. Intellectual Property (IP)

  • We retain IP rights to pre-existing tools, frameworks, and content.
  • Custom deliverables (e.g., software) transfer to the client upon full payment, excluding underlying technologies.
  • Clients grant us a license to use their materials for service delivery.

6. Confidentiality

  • Both parties agree to protect confidential information for [X] years post-termination, except as required by law.
  • Non-Disclosure Agreements (NDAs) may supplement this clause for specific projects.

7. Limitation of Liability

  • We are not liable for indirect, incidental, or consequential damages (e.g., data loss, downtime).
  • Our liability is capped at fees paid in the preceding 6 months, excluding gross negligence or willful misconduct.

8. Termination

  • Either party may terminate the agreement with 30 days’ written notice.
  • Immediate suspension may occur for breaches (e.g., non-payment, misuse).
  • Upon termination, clients must cease using proprietary tools and settle unpaid fees.

9. Warranties and Disclaimers

  • Our services are provided “as is” with no guarantee of uninterrupted operation.
  • Third-party services are not warranted, but we commit to performing services with reasonable skill and care.

10. Governing Law & Dispute Resolution

  • These terms are governed by the laws of the United Arab Emirates.
  • Disputes will be resolved via mediation/arbitration in Dubai, UAE, before litigation.

11. Amendments

  • We may update these Terms & Conditions with prior notice via email or our website.
  • Continued use of services after an update implies acceptance.

12. Data Protection

  • We comply with GDPR, CCPA, and other applicable regulations.
  • Data Processing Agreements (DPAs) are available for EU and US clients.
  • Refer to our Privacy Policy for details on data handling.

13. Acceptable Use Policy

  • Prohibited activities: Illegal activities, spamming, hacking, or any unethical use of our services.
  • Clients are responsible for their content and legal compliance.

14. Support & Subscriptions

  • Support terms, including response times, are outlined in Service Level Agreements (SLAs).
  • Subscriptions auto-renew unless canceled 30 days prior to renewal. Fees are non-refundable.

15. Third-Party Services

  • We are not liable for third-party integrations.
  • Clients assume risks associated with third-party services.

16. Force Majeure

  • We are excused from service delays due to events beyond our control (e.g., cyberattacks, natural disasters).
